Structured Execution provides legal support for teams that close complex transactions - and need them to keep working.
Across the structured finance market, many programs are designed to close transactions efficiently, but fewer are built to sustain clarity, governance, and continuity over time. As facilities mature, counterparties change, and teams evolve, critical internal knowledge and systems can erode.
Working across structured finance transactions from multiple vantage points - including law firms, Delaware and SPV-focused practices, and in-house legal functions - gave me a broad view into how these gaps tend to form, and why they persist across programs, asset classes, and market cycles.
My background includes:
Dechert LLP — Structured finance and securitization transactions, advising on complex financing programs
Richards, Layton & Finger — Entity structuring, governance, and execution mechanics for structured finance vehicles
M&T Bank / Wilmington Trust — Associate General Counsel, supporting structured finance businesses within a regulated institutional environment
Across those roles, I developed a clear conviction: successful structured finance programs depend less on legal creativity and more on consistent execution - clear ownership, repeatable processes, and durable institutional understanding.
